Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Traceage Cloud platform, websites, and related services (the “Service”) provided by Traceage (“Traceage”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.
Accounts
- You must provide accurate registration information and keep it current. You must be at least 16 years old and capable of forming a binding contract.
- You are responsible for safeguarding your credentials and for all activity under your account. Enable multi-factor authentication where available and notify us promptly of any unauthorised use.
- Organisation administrators are responsible for the conduct of users they manage and for configuring access appropriately.
Subscriptions and Billing
- Paid plans are billed in advance on a recurring basis and renew automatically until cancelled. You authorise us to charge your payment method for each billing cycle.
- You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law or expressly stated.
- Fees are exclusive of taxes, which you are responsible for unless we are required to collect them. We may change pricing with prior notice; changes apply at your next renewal.
Acceptable Use
You agree not to, and not to permit others to:
- Use the Service unlawfully, or to store or transmit infringing, defamatory, or otherwise unlawful material.
- Probe, scan, or test the vulnerability of the Service, or breach its security or authentication measures, except under our responsible disclosure process.
- Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorised access to it or related systems.
- Exceed documented API rate limits, or use the Service to build a competing product by copying its features or interfaces.
Intellectual Property
- Your data is yours. You retain all rights to the data and content you submit to the Service. You grant us a limited licence to host, process, and display that data solely to provide the Service to you.
- Our IP is ours. Traceage and its licensors retain all rights to the Service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms.
- Feedback you provide may be used to improve the Service without restriction or obligation to you.
Disclaimers and Limitation of Liability
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Traceage will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the fees you paid in the twelve months preceding the claim.
You agree to indemnify and hold Traceage harmless from claims arising out of your misuse of the Service or violation of these Terms. Neither party is liable for failure to perform due to events beyond its reasonable control (force majeure).
Termination
- You may stop using the Service and close your account at any time.
- We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure for us, or fail to pay fees when due.
- On termination, your right to use the Service ends. We provide a reasonable window to export your data before deletion, after which data is removed in line with our Privacy Policy.
Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which Traceage is established, without regard to conflict-of-law principles. The parties will attempt to resolve disputes informally before pursuing formal proceedings. The specific governing law and venue will be confirmed in the counsel-reviewed edition of these Terms.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
